Terms of Service

1. Agreement to Terms

By accessing or using the platform ("Service"), operated by amalics GmbH ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

is a B2B SaaS platform that helps firms assess, track, and achieve regulatory readiness. The Service includes readiness assessments, workflow tools, industry benchmarks, AI-driven advisory, and compliance reporting.

3. Accounts

To access the Service you must create an account with accurate and complete information. The account is personal and tied to the email address provided; you may not share credentials. You are solely responsible for all activity under the account. Access to the Service and its Outputs is granted for the regulatory readiness of the firm on whose behalf you act. You may not use the Service or its Outputs to advise, support, or deliver work for any other firm or client.

You must notify us immediately at info@settlday.com if you become aware of any unauthorised use of your account.

4. Free Assessment

The T+1 readiness assessment is available without creating an account. Assessment responses may be submitted anonymously. By requesting a PDF report, you consent to us processing the personal data you provide for that purpose, as described in our Privacy Policy.

5. Subscriptions and Payment

Paid features are available under subscription plans as described on our Pricing page. Subscriptions are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

We reserve the right to change pricing with 30 days' notice. Price changes will not affect active subscription periods already paid for.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation.
  • Attempt to gain unauthorised access to any part of the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell, redistribute, or sublicense the Service without our prior written consent.
  • Upload malicious code or content that infringes third-party rights.
  • Use the Service or any Output to advise any other firm or to build a competing product, AI model, or consulting methodology.

7. Intellectual Property

The Service — including its features, branding, questionnaire, scoring methodology, research, and underlying technology — is jointly owned by amalics GmbH and Kommalpha AG and protected by intellectual property laws. "Outputs" means any report, PDF, gap analysis, scoring, recommendation, or document generated by the Service for you. We grant you an internal-use-only licence to use Outputs for the regulatory readiness of the firm on whose behalf you act. You shall not (a) share Outputs outside your firm, except with your professional advisors and regulators on a need-to-know basis, (b) use Outputs to advise any other firm, (c) copy or adapt the questionnaire, methodology, or research into a derivative product or consulting deliverable, or (d) remove or obscure any watermark or identifier in any Output. These Terms do not grant you any rights to our trademarks, logos, or brand elements.

You retain ownership of data you submit to the Service. By submitting data, you grant us a limited licence to process it solely for the purpose of providing the Service to you.

We log usage and exports, and these records are admissible as evidence of breach. Breach of sections 6 or 7 entitles us to immediate termination and injunctive relief in addition to damages.

For each breach of section 6 or 7, you shall pay amalics GmbH a contractual penalty (Vertragsstrafe) of EUR 25,000 as a minimum amount of damages under § 340 BGB; further actual damages may be claimed.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy , which forms part of these Terms. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Assessment scores, benchmarks, and advisory content are provided for informational purposes only and do not constitute financial, legal, or regulatory advice.

You are solely responsible for decisions made based on information provided by the Service. We recommend consulting qualified professionals for specific regulatory compliance questions.

10. Limitation of Liability

To the maximum extent permitted by law, amalics GmbH and Kommalpha AG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service.

Our total aggregate liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access if you breach these Terms, with notice where practicable.

Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable legal requirements.

Sections 6 (Acceptable Use), 7 (Intellectual Property), 9 (Disclaimer), 10 (Limitation of Liability), and 13 (Governing Law) survive termination.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the jurisdiction of the competent courts in Germany.
